1. Introduction

These Terms and Conditions (the “Terms”) govern your access to and use of the Spotlytt skill discovery platform. When you access or use our Services, you agree to these Terms. Your use of our Services is also subject to our Cookie Policy and Privacy Policy.

By creating a Spotlytt account or accessing or using our Services, you agree to enter into a legally binding contract with Spotlytt. As a Visitor or Member, the collection, use, and sharing of your personal data is governed by our Privacy Policy.

Important: If you do not agree to these Terms, do not create an account or access the Services. You may terminate this agreement at any time by closing your account, subject to provisions that by their nature survive termination.

Services

These Terms apply to Spotlytt.com, Spotlytt-branded applications, and other Spotlytt-related sites, applications, communications, and services (collectively, the “Services”).

Changes

We may modify these Terms from time to time. If we make material changes, we will provide notice through the Services or by other reasonable means, giving you an opportunity to review the changes before they become effective. Your continued use of the Services after the effective date of updated Terms constitutes acceptance of those Terms, where permitted by law.

2. Obligations

Service Eligibility

To use the Services, you agree that:

• You are at least 16 years old or the minimum age required to use the Services without parental consent in your jurisdiction, whichever is higher.
• You will maintain only one Spotlytt account, which must use your real identity.
• You are not currently restricted by Spotlytt from using the Services.
• You have the legal capacity to enter into these Terms.

Your Account

You agree to:

• Protect your account against unauthorised access, including by using a strong password.
• Keep your account and contact information accurate and current.
• Not share, sell, or transfer your account.
• Promptly notify Spotlytt if you suspect unauthorised access.
• Follow applicable law and the Spotlytt Dos and Don'ts.

You are responsible for activity performed through your account unless caused by circumstances for which you are not legally responsible.

Payment

If you purchase paid Services, you agree to pay the applicable fees and taxes. Failure to pay may result in suspension or termination of the paid Services. Your purchase may be subject to foreign-exchange charges, payment-provider fees, or price differences based on location.

Unless otherwise stated at purchase, fees are non-refundable except where required by law. Subscription renewal and cancellation terms displayed during checkout form part of these Terms.

3. Rights and Limits

Your Content

You retain ownership of original content you provide to Spotlytt. You are responsible for ensuring that you have the rights necessary to upload and share that content and that it does not violate law, confidentiality obligations, or another person's rights.

Your Licence to Spotlytt

You grant Spotlytt a worldwide, non-exclusive, transferable, and sublicensable licence to host, store, reproduce, process, modify, adapt, distribute, publicly perform, and publicly display your content solely as reasonably necessary to operate, secure, improve, and provide the Services, and according to the audience and visibility settings you select.

This licence allows Spotlytt, for example, to process interview recordings, create transcripts and selected clips, display published profiles, provide recruiter-visible content, and technically adapt content for different devices. This licence does not transfer ownership of your content to Spotlytt.

The licence ends when your content is deleted from our active systems, except to the extent that:

• the content has been shared with others and they have retained a lawful copy;
• temporary copies remain in backups through their ordinary lifecycle; or
• retention is required for legal, security, fraud-prevention, or dispute-resolution purposes.

AI-Generated Material and Assessments

Spotlytt may generate interview questions, transcripts, summaries, skill indicators, readiness scores, recommendations, clips, and job matches using artificial intelligence and automated systems. These outputs may be incomplete or inaccurate and should not be treated as professional certification, employment advice, or a guarantee of employment.

Recruiters and employers remain responsible for their hiring decisions. Users should review important AI-generated information and notify us of material inaccuracies.

Intellectual Property

The Services, including Spotlytt software, branding, interfaces, designs, databases, and original materials, are owned by Spotlytt or its licensors and are protected by applicable intellectual-property laws. These Terms do not grant you ownership of the Services or the right to use Spotlytt trademarks except with written permission.

Service Availability

We may change, suspend, limit, or discontinue features or Services. We may also limit the availability of features, content, or information so that they are not available to every Visitor or Member. Where reasonably practicable, we will provide notice of material discontinuation affecting paid Services.

Suspension and Termination

We may restrict, suspend, or terminate access when we reasonably believe that you have violated these Terms, created risk or legal exposure, failed to pay applicable fees, or used the Services in a harmful or unlawful manner. Where appropriate, we may provide notice and an opportunity to appeal.

4. Disclaimer and Liability

No Warranty

TO THE FULLEST EXTENT PERMITTED BY LAW, SPOTLYTT AND ITS AFFILIATES MAKE NO REPRESENTATION OR WARRANTY ABOUT THE SERVICES, INCLUDING THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ACCURATE, OR ERROR-FREE. THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

Employment Disclaimer

Spotlytt does not guarantee interviews, employment, candidate suitability, recruiter interest, job availability, assessment accuracy, or any particular career outcome. Candidate profiles, skill indicators, AI assessments, and job matches are informational tools rather than definitive evaluations.

Exclusion of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SPOTLYTT WILL NOT BE LIABLE FOR LOST PROFITS, LOST BUSINESS OPPORTUNITIES, LOSS OF REPUTATION, LOSS OF DATA, OR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE SERVICES.

Nothing in these Terms limits liability that cannot legally be limited, including liability arising from fraud, fraudulent misrepresentation, or other liability that applicable law prohibits us from excluding.

5. Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles.

Subject to any mandatory consumer rights or dispute-resolution requirements applicable to you, disputes arising from or related to these Terms or the Services will be subject to the exclusive jurisdiction of the competent courts in MUMBAI , MAHARASHTRA, INDIA.

6. General Terms

If a court or other competent authority finds any provision of these Terms unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent. If modification is not possible, the provision will be removed and the remaining Terms will continue in effect.

These Terms, together with policies expressly incorporated into them and any additional terms presented for a specific Service, constitute the agreement between you and Spotlytt regarding the Services and supersede prior agreements concerning the same subject.

Our failure to enforce a provision is not a waiver of our right to enforce it later. You may not assign these Terms without our written consent. Spotlytt may assign these Terms as part of a merger, acquisition, corporate restructuring, or transfer of the Services, subject to applicable law.

Provisions concerning intellectual property, licences, disclaimers, liability, dispute resolution, and other provisions that by their nature should survive will continue after account closure or termination.

7. Spotlytt Dos and Don'ts

Dos

• Comply with all applicable laws and professional obligations.
• Provide accurate identity, profile, skill, and contact information.
• Use your real name and represent your experience honestly.
• Use the Services professionally and respectfully.
• Respect confidential information and the rights of other people.
• Obtain permission before uploading content belonging to another person.

Don'ts

• Create a false identity, impersonate another person, or misrepresent qualifications.
• Scrape, copy, crawl, or systematically extract the Services or their data without written permission.
• Bypass access controls, usage limits, or security features.
• Reverse engineer or interfere with the Services except where applicable law expressly permits it.
• Violate intellectual-property, privacy, publicity, confidentiality, or other rights.
• Upload malware, harmful code, or material intended to compromise a device or account.
• Harass, threaten, discriminate against, exploit, or harm another person.
• Manipulate assessments, impersonate candidates, or misrepresent interview responses.
• Use candidate information for purposes unrelated to legitimate professional or recruitment activity.
• Sell, rent, or disclose personal data obtained through Spotlytt without authority.
